Terms of Service
Last updated 20 October 2026
The short version
- ContentNeo is a business tool. By using it, your business agrees to these terms.
- You own the videos you make. You are responsible for checking them and for what you post.
- Only make a clone of yourself, and follow our Acceptable Use Policy.
- The service is in early access and provided as it is. Our liability is limited, and disputes go to arbitration in Chennai.
1. About these terms
These Terms of Service ("Terms") are an agreement between Inaily Innovations, a partnership firm registered under the Indian Partnership Act, 1932 ("ContentNeo", "we", "us"), and the business that creates an account ("you"). They cover the ContentNeo website, app, AI agent and related services (together, the "Service").
These Terms include our Privacy Policy, AI Clone Policy and Acceptable Use Policy. By creating an account, clicking to accept, or using the Service, you agree to them. If you accept on behalf of a business, you confirm that you are authorised to bind it. If you do not agree, do not use the Service.
These Terms are an electronic record under the Information Technology Act, 2000 and do not need a physical or digital signature.
2. Early access and invitations
ContentNeo is currently offered by invitation, as an early-access service. Features may be added, changed or removed, and some may be marked as beta. We may limit the number of accounts, videos or credits, and we may accept or decline invitation requests at our discretion.
3. Who can use ContentNeo
- The Service is for businesses and professionals, not for personal or household use.
- You, and every person using your account, must be at least 18 years old.
- We currently offer the Service to businesses in India. We may make it available elsewhere later.
- You must give accurate information about yourself and your business and keep it up to date.
4. Accounts and team members
Keep your login details secure and do not share them. You are responsible for all activity in your account. If you add team members, you are responsible for their use of the Service and for giving them the right level of access, including access to your AI clone. Tell us straight away at support@contentneo.ai if you think your account has been accessed without permission.
5. What ContentNeo does
ContentNeo uses artificial intelligence to learn about your business, from your website, your answers or a call with ContentNeo AI, and to suggest content ideas, write scripts and make short videos with voiceover, music and captions. You download finished videos and post them yourself. ContentNeo does not post to your social media accounts.
About AI output
AI can make mistakes. Scripts, facts, prices, claims, translations, pronunciations, captions and visuals may be inaccurate, incomplete or unsuitable, and similar ideas or videos may be produced for other customers. You must review every output before you use it and you are responsible for deciding whether to publish it.
6. Your content
"Your Content" means everything you or your team provide to the Service, including your website address, business details, logos, photos, video, voice recordings, call conversations, instructions and feedback on videos.
- You keep ownership of Your Content.
- You give us permission, for as long as you use the Service and for the limited time needed after that to close your account, to host, copy, process, adapt, translate and display Your Content, and to share it with our subprocessors, only to provide, secure and support the Service for you.
- We do not use Your Content to train our own AI models. Our AI providers process it to provide their service to us, under their business or paid terms, and we use the privacy settings they offer to stop them from training on it wherever they allow it.
- You promise that you own Your Content or have all the rights and permissions needed to use it this way, including the consent of every identifiable person in it, and that using it does not break any law or anyone's rights.
7. Videos and other outputs
"Outputs" means the ideas, scripts, images, voiceovers, music, captions and videos the Service creates for you.
- As between you and us, you own the Outputs created for your account, and you may use them for any lawful purpose, including commercially. We assign to you any rights we have in them.
- This does not give you any rights in the Service itself, our templates, styles, software or brand, or in stock media, fonts or music that we license from others. Those remain ours or our licensors', and you may use them only as part of the Outputs.
- AI-generated material may not be protected by copyright, and other customers may receive similar Outputs. We do not promise that any Output is unique or that you can stop others from using something similar.
- As Indian law requires, AI-generated videos and audio carry a visible label or spoken disclosure and embedded information showing they were made with AI. You must not remove, hide or alter them.
- We will not use your Outputs to promote ContentNeo unless you give us permission.
8. Your AI clone
You may create an AI clone of your own face and voice. You may only clone yourself, and only after you pass our identity check and give your consent. How we collect, use, protect and delete clone data is set out in our AI Clone Policy, which forms part of these Terms. You can delete your clone at any time.
9. Rules of use
You must use the Service lawfully and follow our Acceptable Use Policy. You are responsible for making sure your videos and their use follow the law, including advertising, consumer protection, privacy, intellectual property and AI-content disclosure rules, and the rules of every platform where you post them.
10. Credits, plans and payment
- Making videos uses credits. The app shows how many credits an action will use before you start it.
- If a video fails to generate because of a problem on our side, the credits for it are returned to your account automatically.
- When paid plans start, prices, what each plan includes and how renewal works will be shown before you buy. Prices exclude GST and other taxes unless stated, and you pay any taxes that apply.
- Plans renew automatically until you cancel. You can cancel at any time and keep access until the end of the period you have paid for.
- Credits have no cash value, cannot be transferred and are not refundable, except where we say otherwise or the law requires. Credits may expire as described in your plan.
- We may change prices or credit rates for future periods. We will tell you at least 15 days before a price increase applies to you.
- If a payment fails, we may pause paid features until it is made.
11. Our rights
The Service, including its software, AI prompts and workflows, design, templates and the ContentNeo name and logo, belongs to us or our licensors and is protected by law. We give you a limited, non-exclusive, non-transferable right to use the Service for your business while your account is active, under these Terms. If you send us ideas or feedback, we may use them freely without paying you or giving you credit.
12. Other services and platforms
The Service relies on other providers, such as AI model, hosting, storage and email providers. Instagram, YouTube, TikTok and other platforms are run by other companies under their own terms. We are not responsible for those platforms, for their decisions about your content or account, or for changes to how they treat AI-generated content.
13. Privacy
Our Privacy Policy explains how we handle personal data. Where you give us personal data about other people, such as customers or staff who appear in your videos, you are responsible for having their consent and giving them any notice the law requires. For that data, you decide how it is used and we process it on your behalf, only to provide the Service to you and only on your instructions.
14. Confidentiality
Each of us will keep the other's non-public business information confidential, use it only for the purposes of these Terms and protect it with reasonable care. This does not apply to information that is public, already known, independently developed or required to be disclosed by law.
15. Suspension and closing an account
- You can stop using the Service and close your account at any time from the app or by writing to us.
- We may suspend or close your account, or remove content, if you break these Terms, if we need to for security or legal reasons, if your use creates risk for us or others, or if we stop offering the Service. Where reasonable, we will give notice first.
- After your account closes, your right to use the Service ends. Download any videos you want to keep before then. We delete your clone data when your account closes and delete or anonymise your other data as described in our Privacy Policy.
- Finished videos are kept for download for 90 days after they are made. After that you can rebuild them in the app.
- Sections that by their nature should continue, including ownership, disclaimers, limits on liability, indemnity and disputes, continue after these Terms end.
16. Disclaimers
To the extent the law allows, the Service and all Outputs are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement.
We do not promise that the Service will be uninterrupted or error free, that Outputs will be accurate or suitable, or that your videos will achieve any reach, engagement, leads or sales, or be accepted by any platform.
17. Limits on our liability
To the extent the law allows:
- We are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business, goodwill or data, however caused.
- Our total liability for all claims relating to the Service or these Terms is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or ₹10,000.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or wilful misconduct.
18. Your responsibility for claims
You will defend and compensate us, our partners and staff for any claims, losses, penalties and reasonable legal costs arising from Your Content, your use of Outputs, your breach of these Terms or of the law, or any claim by a person who appears in, or whose rights are affected by, content you provide or publish. We will tell you about the claim promptly and let you control its defence, as long as you do not settle it in a way that admits fault for us without our consent.
19. Changes
We may update the Service and these Terms. If a change to these Terms materially affects you, we will tell you by email or in the app at least 15 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, you can close your account.
20. Governing law and disputes
- These Terms are governed by the laws of India.
- If a dispute arises, please write to us first at legal@contentneo.ai. We will both try in good faith to resolve it within 30 days.
- If it is not resolved, it will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement between us, or failing agreement, as provided in that Act. The seat and venue of arbitration will be Chennai, and the proceedings will be in English. The arbitration may be held online where the arbitrator allows.
- Disputes will be resolved only on an individual basis, not as part of any class or representative action, to the extent the law allows.
- Subject to the arbitration clause, the courts at Chennai have exclusive jurisdiction, including for urgent or interim relief.
21. General terms
- Whole agreement. These Terms and the policies they include are the whole agreement between us about the Service.
- Severability. If any part is found unenforceable, the rest remains in force, and that part is applied as far as the law allows.
- No waiver. Not enforcing a right straight away does not mean we give it up.
- Transfer. You may not transfer these Terms without our written consent. We may transfer them to a successor, including if our business changes its legal form, merges or is sold.
- Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of the providers we rely on.
- Notices. We may send notices to the email address on your account or show them in the app. You can send notices to legal@contentneo.ai.
- Relationship. Nothing in these Terms creates a partnership, agency or employment relationship between us.
